Editorial License Agreement

This License Agreement ("Agreement") governs every license of editorial photographs, video, and related media (the "Licensed Content") delivered by Broadimage ("Licensor") to a licensee ("Licensee", "you").

Editorial use only. All Licensed Content is licensed on an editorial-use-only basis unless a separate written license expressly grants other rights. Commercial, advertising, promotional, merchandising, or endorsement use is prohibited without a separate license.

1. Rights-managed licensing model

Broadimage licenses content on a rights-managed (RM) basis. Each license issued by Broadimage specifies the parameters of permitted use, including:

Use outside the parameters specified in your license invoice or written license confirmation requires a new or expanded license.

2. Grant of rights

Subject to your full payment of the license fee and continuous compliance with this Agreement, Broadimage grants you a non-exclusive, non-transferable, revocable license to use the Licensed Content solely within the parameters set out in your license invoice or written confirmation, and solely for editorial purposes.

"Editorial use" means use in news reporting, commentary, criticism, education, documentary, biographical, historical, journalistic, scholarly, or otherwise newsworthy contexts where the use is for informational or reportorial purposes consistent with widely-accepted editorial standards.

All rights not expressly granted to you are reserved by Broadimage and the original photographer(s). The license granted in Section 2 does not include — and you do not acquire — any of the following:

Every published use of Licensed Content must include the following credit line, placed adjacent to the content or in the publication's standard credits section:

If a specific credit format is provided with the Licensed Content (in the IPTC metadata or accompanying delivery), that format takes precedence. Removing, altering, or obscuring the credit is a material breach.

Licensed Content depicting identifiable persons, private property, or trademarked elements is supplied for editorial use only and is generally NOT supplied with model or property releases. Editorial use of such content typically does not require releases under U.S. law and the laws of many jurisdictions, but Licensee assumes all risk and responsibility for clearing rights to depicted persons, places, and property in any specific use.

If your intended use is anything other than strictly editorial, you must obtain releases at your own expense before publication. Broadimage makes no representation that releases exist or that any specific use is cleared.

7. Indemnification

You agree to indemnify, defend, and hold harmless Broadimage, its affiliates, contributing photographers, and their respective officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

8. Broadimage's representations and disclaimers

Broadimage represents that it has the right to license the Licensed Content for the editorial purposes described in your license invoice. Beyond this representation, the Licensed Content is provided "AS IS" without warranty of any kind, including warranties of accuracy, suitability for a particular purpose, non-infringement, or that the Licensed Content is releasable for any specific use.

9. Right of revocation

Broadimage reserves the right to revoke or modify any license at any time, with or without cause, upon written notice to Licensee. Reasons for revocation may include (without limitation): subject-matter disputes, talent objections, defamation risk, factual or legal challenges, takedown requests under valid copyright complaint, or violation of this Agreement. Upon revocation, Licensee must cease all use, remove the Licensed Content from active publication channels where commercially reasonable, and confirm in writing within 14 days. Already-published print runs need not be recalled, but no new copies, reprints, or new digital uses may occur after revocation.

10. Audit and enforcement

Broadimage may audit your use of Licensed Content upon reasonable notice. Unauthorized or out-of-license use may result in retroactive license fees, additional damages (under 17 U.S.C. § 504 and analogous law), removal demands, account suspension, and litigation. Statutory damages for willful copyright infringement under U.S. law may exceed USD $150,000 per work.

11. Term and termination

The license is effective on the date of license issuance and terminates upon (a) the expiration of the term specified in your license, (b) revocation under Section 9, or (c) breach of this Agreement. Sections 3, 5, 7, 8, 10, 12, 13, 14 survive termination.

12. Governing law

This Agreement is governed by the laws of the State of California, USA, without regard to conflict-of-laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply. The exclusive venue for any judicial proceeding is the state and federal courts located in Los Angeles County, California, and the parties consent to personal jurisdiction therein. The arbitration and class-action waiver provisions of our Terms of Use apply to disputes arising under this Agreement.

13. International users

This Agreement is operated from the United States. Use of Licensed Content in any jurisdiction is subject to the laws of that jurisdiction, including but not limited to copyright, defamation, privacy, and publicity-rights laws. Licensee is responsible for compliance with all such laws. Nothing in this Agreement waives any non-waivable rights you may have under the laws of your jurisdiction.

14. Entire agreement

This Agreement, together with your license invoice or written confirmation, our Terms of Use, our Privacy Policy, and any contributor agreement applicable to specific Licensed Content, constitutes the entire agreement between Broadimage and Licensee regarding the Licensed Content. If there is any conflict between this Agreement and your license invoice, the more restrictive provision controls.
